Terms of Service

These Terms of Service ("Terms") govern your use of MFTPlus, a managed file transfer service operated by CoolMinds Software (Pty) Ltd ("we", "us", "our"), a South African company. By creating an account or using the service, you agree to these Terms.

1. Service Description

MFTPlus provides managed file transfer services including:

• A software agent that automates file transfers between servers, SFTP endpoints, and local storage
• A managed server platform for scheduling, monitoring, and auditing transfers
• A web dashboard for configuration, monitoring, and administration
• API access for programmatic integration

We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice.

2. Accounts

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials and API keys.
• You must not share your credentials with unauthorized persons.
• You must be at least 18 years old to create an account.
• We may suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree not to use the service to:

• Transfer files that you do not have the legal right to transfer
• Violate any applicable law or regulation
• Distribute malware, illegal content, or material that infringes on others' intellectual property
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the service's infrastructure
• Use the service to send unsolicited bulk communications
• Reverse-engineer, decompile, or attempt to extract the source code of the service

4. Pricing and Payment

• Pricing is listed on our website and in the dashboard. All prices are exclusive of applicable taxes.
• Billing is handled by Polar.sh, our Merchant of Record. Payment terms are governed by Polar.sh's terms in addition to these Terms.
• The Community plan is free. Paid plans (Starter, Pro, Enterprise) are billed monthly or annually.
• We reserve the right to change pricing with 30 days' notice. Existing subscriptions continue at the current rate until renewal.

5. Usage Limits

Each plan has defined limits for agents, jobs, transfer volume, and API rate limits. These are documented in the dashboard and pricing page. We may throttle or queue transfers that exceed your plan's limits and will notify you if you approach them.

6. Intellectual Property

• The MFTPlus software, dashboard, agent, and documentation are the property of CoolMinds Software (Pty) Ltd.
• Your files, transfer configurations, and data remain your property. We do not access or claim ownership of your files.
• You may not use the MFTPlus name, logo, or branding without our written permission.

7. Data and Privacy

Your use of the service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information in compliance with the Protection of Personal Information Act (POPIA).

8. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted availability. Scheduled maintenance windows will be communicated in advance where possible. We are not liable for downtime caused by factors outside our reasonable control, including third-party infrastructure failures, network outages, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by South African law:

• The service is provided "as is" without warranties of any kind, whether express or implied.
• We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the service.
• Our total liability for any claim arising from these Terms or the service shall not exceed the total fees you paid to us in the 12 months preceding the claim.
• We are not liable for data loss, file corruption, or missed transfers resulting from network failures, agent misconfiguration, or third-party service outages.

10. Indemnification

You agree to indemnify and hold harmless CoolMinds Software (Pty) Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the service or violation of these Terms.

11. Termination

• You may terminate your account at any time by contacting us or cancelling your subscription in the dashboard.
• We may terminate or suspend accounts that violate these Terms, with or without notice depending on the severity of the violation.
• Upon termination, we will delete your account data within 30 days, subject to legal retention requirements.
• Provisions that by their nature should survive termination (liability, IP, indemnification) remain in effect.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or dashboard notification at least 30 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or the service shall be subject to the exclusive jurisdiction of the courts of South Africa.
